Terms and Conditions for Aptos Experience Ticket Sales

Effective Date: May 15, 2025

Thank you for your interest in tickets for the Aptos Experience event in New York October 15-16, 2025. By purchasing a ticket, you agree to the following terms and conditions. Please read them carefully.

1. Definitions

• Event: The Aptos Experience, October 15-16, 2025

• Venue: ZeroSpace, 337-345 Butler St, Brooklyn, NY 11217

• Tickets: Admission passes to the Event, which may be in physical, digital, or NFT form.

• Merchant of Record: Matonee Inc. d/b/a/ Aptos Labs  (“Aptos Labs”) is selling tickets to the Event on behalf of the Aptos Foundation.

• Portal: The official ticket sales platform available on https://experience.aptosfoundation.org/ or any other designated site.

• We/Us/Our: Aptos Foundation and its affiliates.

• You/Your: The individual purchasing or using the ticket.

2. Acceptance of Terms

By accessing or using the Portal to purchase Tickets or otherwise, You agree to be bound by these Terms and Conditions (“Ticketing Terms”), as well as any other applicable laws, regulations, and policies. The Ticketing Terms supplement Aptos Foundation’s general terms of use (“General Terms”), currently available at aptosfoundation.org/terms, which are incorporated herein by reference with the same force and effect as though fully set forth herein.  In the event that any provision of the Ticketing Terms conflict with any provision of the General Terms, the provision of the Ticketing Terms shall control. If you do not agree to these Ticketing Terms or the General Terms, please do not purchase Tickets to the Event.

3. Ticket Sales

3.1 Role of Aptos Labs: Aptos Labs is selling tickets to the Aptos Experience on behalf of Aptos Foundation. By purchasing a Ticket, You enter into an agreement with Aptos Labs as the Merchant of Record and are also subject to Aptos Labs’ terms of service. 

3.2 Ticket Form: Tickets may be issued in various forms, including but not limited to physical tickets, digital tickets, or NFTs. You agree to the specific terms related to the form of Your Ticket.

3.3 Eligibility

To purchase tickets for the "Aptos Experience," you must be at least 18 years old and have the legal capacity to enter into a binding agreement.

4. Purchasing Tickets

4.1 Ticket Availability: Tickets are sold on a first-come, first-served basis and are subject to availability. We reserve the right to limit the number of tickets purchased per person or per order.

4.2 Finality: All ticket purchases are final. No refunds or exchanges are permitted unless otherwise stated by Us. 

4.3 Accuracy: You must provide accurate and complete information when purchasing Tickets. Any incorrect information may result in the cancellation of Your purchase.  Please ensure that your email address or other recipient information is correct. We are not responsible for tickets not received due to incorrect information provided by You or technical issues. 

4.4 Payment: You agree to pay all charges associated with Your purchase of Tickets, including any applicable taxes and fees. The tax may be displayed separately or included in the total ticket amount. All ticket purchases must be paid in full at the time of order. Various forms of payment are accepted as specified on the Portal.

5. Ticket Delivery and Access

5.1 Delivery Method: Tickets will be delivered via the method specified at the time of purchase (e.g., email, mobile, print-at-home, will call, digital wallet etc.). 

5.2 Responsibility: You are responsible for ensuring the security of Your Ticket. Lost, stolen, or damaged Tickets may not be replaced.

5.3 Order Confirmation: Upon successful payment, you will receive an order confirmation via email. This confirmation serves as your receipt and proof of purchase. Please check your spam or junk folder if you do not receive it. If you do not receive an Order Confirmation after submitting payment information, or if you experience an error message or service interruption after submitting payment information, it is your responsibility to confirm whether or not your order has been placed. Only you may be aware of any problems that may occur during the purchase process. We will not be responsible for losses (monetary or otherwise) if you assume that an order was not placed because you failed to receive confirmation.

6. Use of Tickets

6.1 Personal Use: Tickets are for personal use only and may not be resold or transferred without Our express consent. 

6.2 Entry Requirement: You must present a valid Ticket to gain entry to the Event. We reserve the right to refuse entry to anyone without a valid Ticket. 

6.3 Refusal of Admission and Expulsion: We reserve the right, at Our sole discretion, to refuse admission or remove any individual from the Event at any time, including ticketholders with valid Tickets, without liability or obligation for refund, compensation, or damages. Grounds for refusal or removal may include, but are not limited to, security concerns, violation of event policies, rules or these terms, disruptive behavior, intoxication, or conduct deemed inappropriate or unsafe by Us.

6.4 Prohibited Items: Certain items may be prohibited at the event. A list of prohibited items will be provided on our website or at the Event. We reserve the right to confiscate prohibited items.

6.5 Publicity Release: By attending the Event, You consent to the use of your name, likeness, biographical information, and voice (as applicable) for promotional purposes and in advertising worldwide without approval rights or compensation, except where prohibited by law.

7. Event Changes and Cancellations

7.1 Changes: We reserve the right to make changes to the Event schedule, including speakers, venues, and timings. 

7.2 Cancellation: If the Event is canceled or rescheduled, You will be offered a refund or the option to attend the rescheduled event. We are not responsible for any other costs incurred by You related to the cancellation or rescheduling of the Event.

8. NFT Tickets

8.1 Digital Wallet: If Your Ticket is issued as an NFT, You must have a compatible digital wallet to receive and use the Ticket. 

8.2 Compliance: You agree to comply with all terms and conditions related to the use and transfer of NFTs.

9. Limitation of Liability

9.1 Indirect Damages: To the fullest extent permitted by law, We are not liable for any indirect, incidental, special, or consequential damages arising out of or in connection with Your Ticket purchase or attendance at the Event. 

9.2 Direct Damages: Our total liability for any direct damages shall not exceed the amount paid by You for the Ticket.

9.3 Assumption of all Risks: You agree that Your attendance at, and participation, in the Event is at your sole risk. 

10. Privacy

Your personal information will be handled in accordance with Our Privacy Notice, which is currently available at aptosfoundation.com/privacy.

11. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the Cayman Islands.

12. Dispute Resolution

Any disputes arising out of or in connection with these terms and conditions shall be resolved through binding arbitration conducted by JAMS pursuant to the Dispute Resolution provisions of Aptos Foundation’s General Terms.

13. Severability

If any provision of these terms and conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. Amendments

We reserve the right to amend these terms and conditions at any time. Any changes will be effective immediately upon posting on Our website. Your continued use of the Portal following such changes constitutes Your acceptance of the new terms and conditions.
